Compliance Rules
Sumitomo Chemical asks every one of its directors and employees to comply with the rules outlined below and has distributed to all a manual in which the compliance rules are described in detail, along with major relevant laws, regulations and company rules.
RELATIONSHIP WITH SOCIETY
Compliance with various business laws
In carrying out business operations, you must fully understand relevant business laws and comply with them, including the acquisition of necessary permits, licenses and the like.

No relationships with antisocial groups
If contacted by any antisocial groups or organizations, you must take a firm stance, and must not have any relationship with such groups or organizations.

Regulations for general or political donations
When making donations or buying tickets for political fund-raising parties, you must comply with the laws, regulations and company rules governing such activities

Environmental preservation
As good global citizens, you must voluntarily and proactively take actions and perform your social responsibility so that our Company may grow in harmony with the global environment and contribute to its preservation.

Safety and disaster prevention
You must properly manufacture, store, sell, transfer and use any potentially dangerous materials to prevent the occurrence of accidents or disasters. If an accident should happen, you must ensure safety by taking measures quickly to prevent the spread of the effects. Facilities that handle materials usually considered to have no potential risk, such as air or steam, must not be operated in any manner other than as specified in the design specifications.

Security trade controls
To perform your responsibility to maintain international peace and security, you must comply with those laws and regulations that control the export of goods or technologies relating to the manufacture or use of weapons of mass destruction (such as nuclear weapons or biological/chemical weapons), conventional arms, etc.

Compliance with laws and regulations related to exports and imports

You must comply with trade-related laws and regulations, international treaties, etc. and implement proper export/import procedures.

RELATIONS WITH CUSTOMERS, BUSINESS PARTNERS, AND COMPETITORS
Safety of products
You must secure the safety of customers and other users at large by reducing possible health hazards or environmental impacts, if any, caused by any of the chemical substances, such as raw materials, intermediates, or other materials our Company uses, as well as final products the Company delivers.

Compliance with the antitrust laws and related laws
You must comply with the Antimonopoly Law, the Subcontracting Law, and foreign countries' competition laws. You may not conduct practices such as private monopolization, improper trade restrictions or unfair trade practices.

Prohibition on unfair competition
You must neither illegally use the trade secrets of other companies, nor carry out sales activities that may degrade the reputation of other companies. You must not use trade or business descriptions of others without obtaining approval, or manufacture and sell imitations of products made by others with the aim of letting consumers confuse our Company's products and business with those of other companies. In addition, your sales activities must not lead consumers to misunderstand the quality or origin of the products.

Respecting the intellectual property rights of others
You must not infringe the intellectual property rights of others.

Entertainment and gifts
You must not entertain customers, trading partners, and others in an excessive manner, nor receive or provide gifts of unreasonably high value.

Compliance with domestic and foreign bribery regulations
You must not conduct any act that is considered to be a bribe, or an act that could be suspected of being a bribe. In principle, you must neither entertain, nor provide gifts to, domestic or foreign public officials.

RELATIONS WITH SHAREHOLDERS AND INVESTORS
Disclosure of business information
The Company must accurately and promptly disclose corporate information, including financial conditions and business operations, in accordance with the relevant laws and regulations.
Prohibition against insider trading

You must not perform any acts that infringe regulations concerning insider trading, or acts that may be suspected of being related to insider trading.

RULES CONCERNING EMPLOYEES
Respect for human rights

You must respect the fundamental human rights of all persons. You must not perform acts that may harm the dignity of a person, such as unfair discrimination or harassment, irrespective of position in the Company, type of employment, age, gender, birthplace, ancestry, nationality, race, handicap, religion, beliefs, marital status, etc.

Privacy protection
You must not collect or use personal information concerning employees of our Company, customers, or employees of other companies doing business with our Company for any purpose other than the business purposes of the Company. You must carefully maintain personal information so that it will not be disclosed to persons other than those who require the information for a legitimate business purpose.

Health and safety at the workplace
Based on the basic principle of "Putting Safety First and Foremost," you must ensure the health and safety at the workplace, not only for people at the workplace but also for all persons concerned, including employees of companies which provide services to our Company. At the same time, you must take proper care of your minds and bodies so that you may be mentally and physically sound.

Compliance with labor-related laws

You must comply with the Labor Standards Law and other employment-related laws and regulations.

RULES CONCERNING THE COMPANY AND THE COMPANY'S ASSETS
Compliance with the Company's Employee Work Regulations

You must comply with the Company's Employee Work Regulations and other personnel management rules.

Prohibition on canvassing for membership of political parties, religious organizations, etc.
You must not force other persons or subject them to canvassing to join or support a particular political party, religious organization, or other organizations which people should elect to join or not based on their personal beliefs or preferences.
 
Proper accounting treatment
The Company must adopt generally accepted accounting standards.


Proper keeping of transaction records
You must accurately record transactions relating to the activities of the Company and properly keep and maintain such records.

Control of trade secrets
Confidential information, such as customer information, trade secrets, or know-how, is an important asset of the Company. Therefore, you must undertake the necessary actions to protect such confidential information. In addition, you must respect any confidential information disclosed by third parties and must undertake the same measures to protect such information.

Proper treatment of corporate assets (including intellectual property rights)
You must record all corporate assets, whether they are tangible or intangible, and properly use and control them.

Prohibition on conflicts of interest
You must not perform activities that may impair the interests of the Company by taking advantage of your position in the Company or by exploiting information that you come to know during the course of your business activities. Without obtaining the permission of the Company, you must neither perform any activity nor assume any position that is likely to be in conflict with the interests of our Company.

Prohibition on the inappropriate use of corporate assets
You must not use corporate assets (either tangible or intangible) for personal purposes.

Proper use of computer systems
You must not use the computer systems for illegal or other improper purposes.
